The underlying Nasdaq Victory US Large Cap 500 Long/Cash Volatility Weighted Index delivers U.S. large-cap exposure while tactically de-risking in deep drawdowns. Eligibility requires membership in the Nasdaq Global Index, U.S. country classification, common stock (no REIT/BDC), positive LTM earnings, ≥180 trading days of history, and ≥USD 3,000,000 median DTV over the prior six months; one line per issuer. The 500 largest issuers by market cap are selected. Weights are proportional to the inverse of each stock’s 180-day daily return standard deviation, with 25% sector caps. The index reconstitutes and rebalances after the third Friday of March and September using end-February/August data. A long/cash overlay cuts equity exposure when the reference index falls 10%, 20%, and 30% from its all-time high close to 25%, 50%, and 75% cash equivalents, respectively; it fully reinvests after a 40% decline or when within 10% of the high.

Investment Proposition

VictoryShares US 500 Enhanced Volatility Wtd ETF (CFO) presents a rules-based U.S. large-cap portfolio that emphasizes companies with consistent profitability and lower realized volatility, paired with a defensive overlay designed to reduce equity exposure when market conditions deteriorate. The approach seeks large-cap equity growth while prioritizing downside risk management, using volatility weighting to diffuse mega-cap concentration and a systematic risk signal to de-risk during prolonged sell-offs. Resulting exposures typically tilt toward quality and lower beta, which can moderate drawdowns but may trail during narrow, high-beta surges led by mega-caps. Macroeconomic sensitivity often skews toward late-cycle resilience and choppy regimes where defense and diversification matter more than pure momentum. Portfolio roles include a defensively managed core U.S. equity sleeve, a drawdown-aware equity anchor for outcome-oriented mandates, and a concentration hedge for cap-weighted risk. Suitable investors include allocators seeking equity participation with guardrails and multi-asset managers targeting smoother path dependency across cycles. Environments with persistent declines or elevated volatility can be favorable; abrupt V-shaped rebounds can challenge re-risking speed. Key risk to monitor is potential whipsaw and higher turnover from rule-triggered de-risking.
